Giant Media Merger Postponed to 2027

Paramount and Warner Bros. The giant merger between Discovery was postponed until June 2027 due to litigation.

Paramount Skydance, Warner Bros. It decided to suspend its planned merger with Discovery until June 2027. This step was taken during the court process, which evaluated the joint lawsuit filed by 12 different states to block the agreement.

The postponement decision in question extends the two-week period previously granted to the states by judge Araceli Martínez-Olguín. The judge is expected to approve the agreement for it to become official.

Legal Process and the Future of Mergers

Paramount has pledged not to take any steps to consolidate operations until June 1, 2027, or within five days of the court rulings on antitrust laws. With this development, the hearing planned to be held on August 3 was cancelled.

Representatives of the states and the Writers Guild of America (WGA) withdrew their previously requested preliminary injunction. The parties are expected to submit new hearing schedules for their cases to the court by July 31.

In its statement, the WGA stated that it maintained its view that the merger was illegal and would continue efforts to block the process. Paramount, on the other hand, acquired Warner Bros. in February with a valuation of approximately $111 billion. It left Netflix behind to acquire Discovery.

Financial Implications and Company Opinion

While the US Department of Justice approved the agreement in June, the European Commission approved it on the condition that Paramount withdraw from its distribution agreement with Universal. The opposition of the states and unions stands out as the biggest obstacle to the process.

Extending the deal beyond September costs Paramount $0.25 per share per quarter, or about $7 million per day. The company management argues that the court process is the fastest way to prove that the transaction is positive for competition and consumers.
